UTILIZING ESOPs FOR TAX EFFICIENT LIQUIDITY

The primary goal of the presentation is to better understand, through the use of examples and case studies: (i) some of the myths associated with ESOPs; (i) the benefits and pitfalls of utilizing an ESOP for tax efficient liquidity for business owners, for corporate finance and transition planning for the business and as a tool for attracting and retaining employees; (iii) some estate planning considerations; and (iv) what type of situations are best suited for an ESOP. Mark Russell and Ed Renenger specialize in helping companies navigate the complexities of ESOPs.  Mark, as a Senior Managing Director of Griffin Financial Group, helps companies determine the feasibility of an ESOP and whether an ESOP is the appropriate vehicle for the relevant stakeholders to accomplish their goals.  In situations where the ESOP is not the right fit, Mark assists owners in determining what alternative structure is more appropriate for their situation.  Ed, as a lawyer shareholder in Stevens & Lee, advises business owners on how to sell their companies to its employees through an ESOP and also provides legal advice on other ESOP-related transactions.  Ed also advises ESOP trustees on their fiduciary obligations in ESOP transactions and when unique situations arise in already established ESOPs.
