Business Ownership Transitions in Estate Planning:
An Overview of Current Tax and Generational Market Trends

Small businesses face many obstacles. Buying or starting a small business is often one of the most significant financial events ever experienced by an entrepreneur. Entrepreneurs approach the process with a hope and desire of creating something better for their future while often exposing themselves to a large investment and debt. For many entrepreneurs their small business is the center of their family’s financial infrastructure providing the majority, if not all, of their family’s current and future income. Small Business Ownership is taking on a new look. Over the past 20 to 30 years entrepreneurialism has been ruled by youth primarily due to advancements in the technology sector. Now though new business ownership is moving the way of experience as people in their 40s, 50s, 60s and older are becoming entrepreneurs. This shift is having a dramatic impact on the estate planning needs of small business owners. This presentation highlights how current tax trends are influencing the ownership transition of businesses. Additionally, this presentation will review the impact different generations are having on business transfers with specific attention on the impact starting to be felt by the Baby Boomer Generation. As a result of attending this presentation, participants will: Understand the impact associated with pending federal capital gain and ordinary rate changes; Be able to apply the Patient Protection Act medicare tax increase to current planning; Understand how Built-in Gains and Qualified Small Business Stock affect business transfer decisions; Gain a perspective of how different generations influence the transfer of a business; Understand the paradigm shift regarding the concept of retirement; Gain a working knowledge that many people retirement is now nothing more than a life event leading to a change of employment but not a removal from it. Monty W. Walker is a Certified Public Accountant with a diversity of experience in the private closely-held business arena. Having come from an entrepreneurial family, Monty has a comprehensive business background spanning over 24 years which includes experience in both startups and established entities. Brian A. Wendler, CPA – Accredited in Business Valuation (ABV), Accredited Senior Appraiser (ASA), Certified Mergers & Acquisition Advisor (CM&AA), Certified Machinery & Equipment Appraiser (CMEA), and a Master Certified Business Counselor (MCBC), has been involved in over 13,000 business valuations, trained over 1,200 business brokers and financial professionals, and assisted in over 15,000 transactions.
